Terms and Conditions of Sale (Wholesale)

1. About these terms
These Terms and Conditions ("Terms") govern your use of LoveFactoryToys.com (the "Site") and all wholesale purchases from Love Factory LLC, a South Carolina limited liability company ("we," "us," "our"). By accessing the Site, applying for an account, or placing an order, you agree to these Terms.
2. Wholesale only, adults only
2.1 The Site and its products are intended for business-to-business wholesale purchases by approved retail businesses only. We do not sell to consumers for personal use.
2.2 You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) to access the Site or open an account.
2.3 The products sold are adult products. You are responsible for complying with all federal, state, and local laws that apply to the resale, display, advertising, and age restrictions of these products in your location.
3. Wholesale accounts
3.1 Access to the catalog, pricing, and ordering requires an approved wholesale account. We may approve or decline any application at our sole discretion.
3.2 To apply, you must provide accurate business information, including a valid resale certificate or state retail/sales-tax license (seller's permit) and a federal tax ID (EIN, or SSN for sole proprietors). You agree to keep this information current and to notify us if your certificate or license expires or is revoked.
3.3 You are responsible for keeping your login credentials confidential and for all activity under your account.
3.4 We may suspend or close an account at any time, including for inaccurate information, non-payment, resale in violation of these Terms, or misuse of the Site.
4. Pricing and confidentiality
4.1 Wholesale prices are shown to approved account holders only and are in U.S. dollars. Prices may change without notice. The price in effect when your order is placed applies.
4.2 Wholesale pricing is confidential and may not be shared publicly.
4.3 We may correct pricing errors and cancel orders placed at an incorrect price.
5. Orders and acceptance
5.1 Orders are subject to acceptance and product availability. An order confirmation email does not constitute acceptance; acceptance occurs when the order ships.
5.2 There are no order minimums.
5.3 Quantity-break pricing applies as displayed on the product page at the time of order.
5.4 We may limit or cancel quantities ordered per account or per order.
6. Payment
6.1 All orders are prepaid by credit or debit card at checkout through our third-party payment processor.
6.2 We do not offer credit terms unless agreed in writing.
6.3 You authorize us to charge your payment method for the full order amount, including shipping and any applicable taxes.
7. Sales tax and resale certificates
7.1 Tax-exempt resale purchases require a valid resale certificate on file that is acceptable in the applicable jurisdiction. If no valid certificate is on file, we may charge sales tax where required.
8. Shipping
We ship to addresses within the United States only, from our warehouse in Charlotte, North Carolina. See our Returns & Shipping Policy for details.
9. Returns
Returns are governed by our Returns & Shipping Policy. Because of the nature of the products, most items are non-returnable for hygiene reasons.
10. Product information and use
10.1 We make reasonable efforts to describe products accurately. Colors and images may vary slightly.
10.2 Products are intended for adult use only and must be used according to the manufacturer's instructions.
11. Warranty disclaimer
EXCEPT AS EXPRESSLY STATED, PRODUCTS ARE PROVIDED "AS IS," AND WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE EXTENT PERMITTED BY LAW.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM AN ORDER SHALL NOT EXCEED THE AMOUNT PAID FOR THAT ORDER. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS.
13. Indemnification
You agree to indemnify and hold us harmless from claims arising from your resale, marketing, or display of the products, or from your breach of these Terms or of applicable law.
14. Intellectual property and use of images
All Site content, including text, photography, logos, and design, is owned by or licensed to us. Approved retailers may use product images and descriptions solely to market and resell our products, subject to any brand or image guidelines we provide.
15. Governing law
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules.
16. Changes
We may update these Terms from time to time. The "Last updated" date reflects the latest version. Continued use of the Site after changes means you accept the updated Terms.
